SteuriFisch is a law firm with a notary’s office in Wil SG, not a public authority. The register is kept by the Federal Office of Justice; you can also file there yourself via EasyGov, free of charge. Our service is for those who would rather hand it over. Who must file

Every AG and GmbH domiciled in Switzerland — including the one-person AG and the family GmbH. Exempt are listed companies and a few special cases.

By when

Existing companies have three to six months, depending on legal form and audit requirement: from 31 December 2026 to 31 March 2027. Newly founded companies file within one month. We tell you which deadline applies to you after your enquiry.

What happens if you miss it

Anyone who wilfully fails to file or files incorrectly risks a fine of up to CHF 500'000. The board of directors or the management remains responsible — even if the filing has been delegated.

Start the filing.

  1. You send the enquiry. Company, contact, legal form — two minutes. You receive the link to your personal area straight away. The CHF 300 flat fee applies; only if our review shows that further clarification is needed do we come back to you with a quote first.
  2. You enter the owners. In your personal area you enter who owns the company, upload the ID copies and confirm the mandate with a tick. No printing, no appointment — if in doubt, call us.
  3. EasyGov authorises us. We trigger the authorisation with EasyGov. The federal letter then arrives at your registered address by itself within the next few days: sign it, send it back. If your company is already on EasyGov, an invitation does the job.
  4. We file, you receive the confirmation. You pay the flat fee online — by card or TWINT. We submit the filing and send you the register’s confirmation.
Legal form

Your enquiry is free and non-binding; it does not yet create a mandate. Your details stay confidential, see our privacy policy. Provider: SteuriFisch AG, Zürcherstrasse 19, 9500 Wil SG, CHE-148.377.550.

What we take care of.

  • Reviewing the filing obligation and the beneficial ownership on the basis of the documents you provide.
  • Arranging the EasyGov authorisation we need in order to file for your company.
  • The initial filing of the beneficial owners with the register.
  • Passing the confirmation of registration on to you.

Not included.

  • Later changes and updates to the filing.
  • Reconstructing a missing share register or list of beneficial owners.
  • Working through complex ownership structures — you receive a quote for that in advance.

We are of course happy to take all of this on as well — on request and against a quote you see beforehand. Tell us about your case and we will come back with a proposal.

The transparency register in brief.

What it is

An electronic federal register maintained by the Federal Office of Justice (Art. 20 TJPG). It records the natural persons who ultimately control Swiss companies. The legal basis is the Federal Act on the Transparency of Legal Entities (TJPG), in force from 1 October 2026.

Who must file

Companies limited by shares (AG), limited liability companies (GmbH), partnerships limited by shares and cooperatives, as well as SICAVs, SICAFs and limited partnerships for collective investment (Art. 2 TJPG). Exempt are listed companies, subsidiaries held directly or indirectly to more than 75 per cent by listed companies, supervised pension institutions, and companies in which public bodies hold at least 75 per cent of the participation rights (Art. 3 TJPG). Associations, foundations and sole proprietorships are not covered.

Who counts as a beneficial owner

Any natural person who, directly or indirectly, alone or in concert with others, holds at least 25 per cent of the capital or votes, or otherwise controls the company. Only if nobody meets any of these tests — including control by other means — does the most senior member of the managing body become the beneficial owner on a subsidiary basis (Art. 4 TJPG).

What is reported

Surname and first name, date of birth, nationality, municipality and country of residence, and the nature and extent of control (Art. 9 TJPG). Filings are made via EasyGov. Any change must be reported within one month (Art. 10 TJPG).

By when

Newly founded companies file within one month of their commercial register entry (Art. 9 TJPG). Companies already in existence when the Act enters into force on 1 October 2026 have transitional periods of three months to two years — see the overview below. If such a company changes its commercial register entry for the first time during the transitional period, the filing is due within one month of that change (Art. 51 para. 1 TJPG).

What happens on breach

Whoever wilfully breaches the filing duty or makes false statements faces a fine of up to CHF 500'000 (Art. 43 TJPG). The most senior member of the managing body is responsible — even if the filing is delegated to third parties (Art. 12 TJPG).

Transitional deadlines for existing companies.

Counted from entry into force on 1 October 2026 (Art. 51 TJPG). If a company changes its commercial register entry before then, it must file within one month of that change.

Frequently asked questions.

Who has to register in the transparency register?
All companies limited by shares (AG), limited liability companies (GmbH), partnerships limited by shares and cooperatives domiciled in Switzerland, plus SICAVs, SICAFs and limited partnerships for collective investment, and certain foreign companies with a Swiss connection (Art. 2 TJPG). Not covered under Art. 3 TJPG are: listed companies; subsidiaries held directly or indirectly to more than 75 per cent by one or more listed companies; supervised pension institutions; and companies in which public bodies hold, directly or indirectly, at least 75 per cent of the participation rights. A simple majority holding is therefore not enough for the exemption. Associations, foundations and sole proprietorships do not file.
Who counts as a beneficial owner?
Any natural person who ultimately controls the company — by holding, directly or indirectly, alone or in concert with others, at least 25 per cent of the capital or votes, or by controlling the company in another way. The most senior member of the managing body, in an AG usually the chair of the board, only takes that place on a subsidiary basis — that is, where nobody meets any of the criteria (Art. 4 para. 2 TJPG). Before that, it must also be examined whether somebody controls the company by other means, for instance through voting agreements, fiduciary arrangements or special rights; the Federal Council specifies these cases (Art. 6 TJPG). Holding chains and fiduciary arrangements make the assessment harder — that is exactly where our review comes in.
By when must the filing be made?
Newly founded companies file within one month of their commercial register entry. Companies already existing on 1 October 2026 have transitional periods of between three months and two years, depending on legal form, audit requirement and whether all beneficial owners are already recorded in the commercial register — see the overview above. Important: whoever changes a commercial register entry during this period must file within one month of that change (Art. 51 TJPG). Changes to an existing filing must also be reported within one month (Art. 10 TJPG).
What happens if a company does not file, or files incorrectly?
Whoever wilfully breaches the filing duty or gives false information to the supervisory body is fined up to CHF 500'000 (Art. 43 TJPG); whoever disregards an order of the supervisory body, up to CHF 100'000 (Art. 44 TJPG). Responsibility for the filing lies with the most senior member of the managing body. It may delegate the task to third parties but remains responsible for its proper execution (Art. 12 TJPG).
Is the transparency register public?
No. Access is limited to the federal supervisory body, certain authorities — such as prosecution, tax and land registry authorities — and financial intermediaries and advisers in the course of their due-diligence duties under the Anti-Money Laundering Act (Art. 25–27 TJPG). The public has no access.
Can I make the filing myself via EasyGov?
Yes. Filing is possible via EasyGov.swiss and the Confederation charges nothing for it. You need an EasyGov account, the link to your company and a sound assessment of who is beneficially entitled. Our offer is aimed at business owners who want to hand over exactly that effort and not carry the legal assessment themselves.
Is there a simplified filing if all owners are already in the commercial register?
Yes, the law provides relief — but a mere confirmation does not replace the filing. First: if all beneficial owners are recorded in the commercial register as members or as a governing body (typical for a GmbH, whose members are registered), the first filing benefits from a two-year transitional period, i.e. until 30 September 2028 (Art. 51 para. 2 TJPG). Second: if the company is registering a change in the commercial register anyway, it can hand the details to the cantonal commercial register office and confirm that there are no further beneficial owners; the office forwards them to the transparency register (Art. 11 TJPG). Third, the Confederation provides a simplified procedure for the GmbH whose members are all natural persons and for the one-person AG, where the details are taken from the commercial register (Art. 19 TJPG; information from the Federal Office of Justice). You record in your personal area whether all owners are in the commercial register — we then choose the simplest permissible route.
How much effort is it for me?
Little. You fill in the enquiry form (five details, two minutes), enter the owners in your personal area, upload the ID copies and confirm the mandate with a tick. The only signature is on the authorisation letter that EasyGov sends to your registered address by itself once we have requested the authorisation. Review, authorisation, filing and confirmation are on us. Expect around a quarter of an hour in total.
Does the duty also apply to holding and real estate companies?
Yes. What matters is the legal form, not the purpose: every AG and GmbH domiciled in Switzerland files — including the holding company, the real estate AG and the operating company of a group (Art. 2 TJPG). Only the cases listed in Art. 3 TJPG are exempt, such as listed companies and their subsidiaries from 75 per cent. In multi-tier structures the chain of participations must be followed through to determine which natural persons ultimately control — which is precisely where our review starts.
I own my company alone. Do I still have to file?
Yes. The obligation applies regardless of the number of owners — the one-person AG and the GmbH with a single member also report their beneficial owner (Art. 2 and 4 TJPG). In precisely these cases the filing is straightforward and the flat fee applies.
Does my company also have to keep its own register?
Yes. Independently of the filing, every company must itself identify its beneficial owners, document the details, keep them up to date and keep them accessible in Switzerland at all times — for ten years after the entitlement ends (Art. 7 and 8 TJPG). In an AG or GmbH, a person resident in Switzerland with signing authority must have access to these records.
Do I need my own EasyGov login?
Not necessarily — but your company has to authorise us for the filing. If your company is not yet linked to an EasyGov account, we apply for the authorisation. The EasyGov authorisation letter is sent to the company’s registered office and must be signed by the persons with signing authority. If your company is already linked, a person with full access has to authorise our staff. A general power of attorney for legal representation does not replace this authorisation process.
What does the CHF 300 flat fee cover?
Reviewing the filing obligation and the beneficial ownership on the basis of the documents you provide, arranging the EasyGov authorisation, the initial filing and passing on the confirmation of registration. It applies per company and to ordinary cases: a Swiss AG or GmbH, no more than four directly participating natural persons, clear relationships, complete records.
What applies to complex ownership structures?
Holding chains, fiduciary arrangements, special control rights, more than four directly participating natural persons or incomplete records lead to an individual review. More than four owners or a missing share register does not trigger an automatically calculated surcharge — we give you a quote in advance and you then decide whether we continue.
When and how do I pay?
After your enquiry we confirm whether the flat fee applies. You can then pay at any time in your personal area — by card or TWINT via our payment provider Stripe; the invoice reaches you automatically by email. We file once payment, details and the EasyGov authorisation are in place. Nothing is charged through the enquiry form itself.
Which documents are needed?
For each beneficial owner: name, address, date of birth, nationality and the nature of the participation, plus a copy of an ID document; for an AG additionally the share register listing the owners. You enter and upload all of it in your personal area. You send us nothing with the enquiry itself.
Are later changes included?
No. The flat fee covers the initial filing. If the beneficial owners or the ownership structure change, the filing has to be updated within one month — we charge for that separately and are happy to quote for it.
Is this the official register website?
No. This page belongs to SteuriFisch AG, a law firm with a notary office. The Swiss transparency register is maintained by the Federal Office of Justice; filings are made via the EasyGov.swiss platform. We make the filing for you as your appointed representative — we are not an authority.

The legal basis is the Federal Act on the Transparency of Legal Entities and the Identification of Beneficial Owners (TJPG, BBl 2025 2900), in force from 1 October 2026. Official federal information: transpareg.admin.ch
